This Site and the Materials are directed solely at persons capable of being classified as professional clients under the FCA’s rules and/or the EU Markets in Financial Instruments Directive (“MiFID”) and also to persons of a kind to whom the Alchemy Funds may lawfully be promoted by an authorised person by virtue of Section 238(5) of the Financial Services and Markets Act 2000, the Financial Services and Markets Act 2000 (Promotion of Collective Investment Schemes) (Exemptions) Order 2001 and COBS 4.12B.7R. (each as updated, amended or restated from time to time). ASO is subject to the prudential requirements under the Investment Firms Prudential Regime (“IFPR”) set out in (and applicable in accordance with) the FCA’s Prudential sourcebook for MiFID investment firms in the FCA Handbook (“MIFIDPRU”).
ASO is classified under MIFIDPRU as a non-small and non-interconnected MIFIDPRU investment firm (“Non-SNI MIFIDPRU Investment Firm”).
As a Non-SNI MIFIDPRU Investment Firm, ASO must comply with the Overall Financial Adequacy Rule and meet an initial capital requirement of the higher of (i) its fixed overhead requirement, (ii) the permanent minimum requirement and (iii) the K factor requirement. ASO’s capital adequacy requirement is met by maintaining a minimum initial capital of ¼ of its fixed overheads for the previous financial year at all times (subject as applicable to the MIFIDPRU transitional provisions, which apply to ASO because it was an exempt CAD firm on 31 December 2021 and provide for a phased application of the full own funds requirements through to 31 December 2026).
